Directors Vault. Your compliance is our priority.

For lawyers and accountants

Your client needs a director. Your scope stays yours.

You're often the first to hear it: an overseas client wants an Australian company and has no one here who can act as director under section 201A. Introduce them to me. I fill the resident director and public officer roles, and the legal, secretarial and tax work stays exactly where it is.

A referral reflects on you. I treat every appointment that way.

How we work together

A clear line between my role and yours.

What I do

Director and public officer

  • Act as the Australian resident director under s201A
  • Act as public officer for the ATO
  • Run a risk assessment before accepting the appointment
  • Provide my consent to act and Director ID for your lodgement
  • Read board papers and review resolutions before signing

What stays with you

Your client relationship

  • Incorporation and ASIC lodgements
  • Company secretarial work and registers
  • Legal advice, contracts and structuring
  • Tax, accounting and BAS work
  • Any future work the client brings you

I won't take on the incorporation, legal, secretarial or accounting work for clients you introduce. The rest of the relationship stays yours.

Introducing a client

Three steps, and you stay in the loop.

Send an email introduction

Email me with your client copied in, and a line on what they're setting up or what's changed. That's all I need to get started.

I run the risk call

I take your client through my risk framework, complete identity checks, and give them a written scope and fixed annual fee. I'll keep you copied on anything that affects your work.

You lodge the appointment

I send you my signed consent to act and Director ID, so you can complete the incorporation or the change of directors with ASIC.

Questions

What advisers usually ask.

How quickly can you be appointed?

Once the risk call and identity checks are done, I can provide my consent and Director ID straight away. I already hold my Director ID, so there's no wait for one to be issued.

What about the client's overseas directors?

Every director needs a Director ID, including those who live overseas. Foreign directors generally apply to ABRS on a paper form with certified identity documents, which can take around four weeks. From 1 July 2027 companies must give ASIC their directors' IDs on registration and on each new appointment, so it's worth getting your client's overseas directors started early.

Will you take on other work for my client?

No. I act as resident director and public officer only. Incorporation, secretarial, legal and tax work stay with you.

What if the client isn't a good fit?

The risk call is there to find out. If the business carries risk I'm not willing to take on as a director, I'll tell you and your client plainly, early, and before anyone has spent money on it.
